End User Software License Agreement
Please read the following End User License Agreement (the "Agreement"). By installing or using the Software provided by this Agreement (the "Software"), you agree to the terms of this Agreement. If you do not agree, do not use the "Software". General This Agreement is a legal agreement between you (an individual or unit entity) and Inspur Group (Hereinafter referred to as "Inspur"). Your subsidiary or affiliate company is not covered by the license granted by this Agreement.This Agreement applies to updates, supplements, add-ons, or Internet-based service components that may be provided or made available to you by Inspur, unless Inspur adds to these updates, supplements, add-ons, or Internet-based service components Provides for other terms. Inspur has the right to stop any Internet-based services that are provided or made available to you by using "Software". Any product support service related to the Software is also subject to this Agreement unless otherwise specified in other agreements between you and Inspur. "Software" may be accompanied by amendments or additions to this Agreement. License 1. This agreement grants the person authorized non-exclusive, non-transferable, non-sublicense, non-distributed, revocable, fee-based Software use, Software only for the purchaser (the unit),The Software is limited to the purchaser (the unit).Any reproduction, transmission, display, modification, release, re-license, transfer or resale of the Software without the express written consent of the Company,the Company will pursue its legal liability. 2. The geographical scope of the permitted use : Both parties agree that the authorized party shall access to the software in the country or region where it is located.( The authorized party may not distribute this software to End-Users as on-premises distributions outside of the Territory , and the authorized party may not offer this software as a cloud service or software-as-a-service to any End-Users outside of the Territory ) 3. The license period: (according to the Software function permission time limit required to use) 4. The software contains materials licensed from a third party, and Inspur has assumed responsibility for these materials and their use in the software. 5. The software is owned by Inspur or Inspur supplier, and is licensed, not sold to the authorized party. The Software is limited to the purchaser (the unit) use, such as transfer or resale, the Company will pursue its legal responsibility. Obligations The obligations that the authorized party should perform 1. Do not delete information about copyright in the Software and its accessories. 2. Do not copy any part of this software. 3. Do not copy and diffuse discs. 4. Do not modify, add, delete or create any derivative works. 5. Do not use part or all of the data in this Software for commercial purposes in any way. 6. Do not reverse engineering, disassembling, de-compiling, translating or otherwise trying to discover the Source Code form of any software provided in Object Code form. Except as permitted by the national or regional law of the places where the authorized party does business, and only with respect to the particular copy of Object Code incorporated into that particular Licensee Product, and subject to confidentiality agreement. Your license is terminated when you transfer all or part of the Software or copy to another user. Copyright and Ownership of the Software 1. The names of the Software and all its copies are the same as those on the CD-ROM or in the Software. The Software and documentation are copyrighted and protected by national copyright laws and international agreements. You may not remove the copyright notice from the Software and warrant that the copyright notice is reproduced (in whole or in part) of the Software. You agree to indemnify the Software and Documentation by any means illegally. 2. Based the Software source code, the changes made, new results produed (including derivative works) and the rights of new results belong the Inspur. After-sale Guarantee If you have received this Software free of charge by purchasing another product from Inspur, you will be responsible for the warranty of the relevant product's after-sales service terms. Accident, misuse or misuse of the carrier caused by defects, or lead to other damage, after-sales warranty is invalid. Limited liability The above warranties, whether express or metaphor, are provided by Inspur unilaterally, and are the entire contents of the warranty, including merchantability and fitness for a particular purpose. INCIDENTAL, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR ANY OTHER PARTY RESPONSIBLE, WHETHER IN CONTRACT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF THIS SOFTWARE, Inspur and its agents, sales staff are not responsible; even if Inspur was informed in advance that such things may occur, but also to no avail. Permission Termination If you violate any of the terms and conditions of this Agreement, Inspur may terminate the license at any time. When you terminate the license, you must immediately destroy all copies of the Software and documentation, or return it to Inspur.The authorized party shall be liable for all losses arising from any breach of this agreement by the authorized party or to any loss to Inspur and any third party. Legal jurisdiction and applicable law 1. The adress where the agreement is signed is Gaoxin District, Jinan City, Shandong Province, the People 's Republic of China. 2. If the dispute arises in this agreement, the first consultation should be friendly; if consultation fails, the two sides agreed to submit disputes to the people's court which it should have jurisdiction rights about the address where the agreement is signed. 3. The establishment, effective, performance, interpretation that dispute resolution of of this agreement, are applicatied of the mainland of the People's Republic of China law. ________________________________________ At this point, you must have read and understood this Agreement in detail and agree to strictly comply with the terms and conditions. |
